Loophole

Terms of service

In force from (to be confirmed).

These terms are the agreement between you and Loophole. They are written to be read: if something is unclear, email (to be confirmed) before you buy.

1. Who we are

Loophole is run by (to be confirmed), (to be confirmed), registered with the Dutch Chamber of Commerce (KvK) under number (to be confirmed). You can reach us at (to be confirmed). In these terms “we” and “us” means (to be confirmed); “you” means the person who holds the Loophole account.

2. What these terms cover

These terms apply to everything you do with Loophole: asking a question, the intro call, the written answer and any follow-up work you buy. You accept them when you submit a question, and you confirm them again before every payment. If we agree something else with you in writing, that agreement takes precedence on the point it covers.

3. How Loophole works

  • You ask your question on our website, typed or spoken. This is free.
  • You book an intro call with your advisor. The intro call is free.
  • After the call your advisor writes your answer: what applies to you, what you need to do, what to watch out for, and a diagram of your structure. We email you when it is ready. You unlock it by paying its price once.
  • Your answer may suggest follow-up work, such as a filing or a structure design, each with a fixed price. You decide whether to buy any of it.
  • There is no subscription. Nothing renews, and nothing is charged unless you start a payment.

4. Your account

You must be 18 or older and give us correct information. Your account is personal. We sign you in with one-time links sent to your email address, so keep your mailbox secure. You can delete your account at any time on your account page; our privacy policy explains what that removes and what the law makes us keep.

5. What our tax advice covers

  • It is based on the facts and documents you give us, and on the law and published practice on the date your answer is published. You are responsible for telling us everything relevant and for its accuracy. If facts are missing or wrong, the answer can be wrong.
  • It covers only the question and the countries discussed in your intro call, and it is written for you alone.
  • We do not keep your answer up to date after it is published. If your situation or the law changes, ask us again.
  • Unless you buy follow-up work that says so, we do not file tax returns, act for you towards tax authorities or courts, or cover law other than tax.
  • We cannot guarantee how a tax authority or a court will view your situation.
  • We use AI tools to prepare and draft. Your advisor checks, edits and approves everything before you see it.
  • We only help with lawful tax planning. We stop working on a question if we believe it is meant to evade tax or hide income. Dutch anti-money-laundering law may require us to verify your identity and, in some cases, to report unusual transactions without telling you.

6. Prices and payment

All prices are in euros and are the full amount you pay, including any VAT that applies. You see the price before you pay, and the price of your answer is fixed once your answer is published. You pay through Stripe; your card details go to Stripe, not to us. We email you a confirmation of your payment.

7. Delivery

  • Your answer: you can read it in your portal as soon as your payment is confirmed, usually within a minute.
  • Follow-up work: we start after your payment and tell you the expected timing. If we need more information or documents, we ask you. Your portal shows when the work is done.
  • If we cannot deliver what you paid for, we refund you in full.

8. Your right of withdrawal (consumers)

If you buy from us as a consumer, not for your business, EU law normally gives you 14 days to withdraw from a purchase without giving a reason. For our services it works like this.

  • Your answer. The answer is ready when you pay, and you get access straight away. At checkout you ask for that immediate access and confirm that you lose your right of withdrawal once the answer is unlocked. After that you can no longer withdraw from this purchase.
  • Follow-up work. You can withdraw within 14 days of your purchase. At checkout you ask us to start straight away. If you withdraw after we have started, you pay for the part of the work already done, in proportion to the total price. Once we have fully completed the work, you can no longer withdraw.
  • How to withdraw. Send us a clear statement by email to (to be confirmed) or by post to (to be confirmed), before the 14 days are over. You may use the model form below, but you do not have to.
  • Refund. We refund you within 14 days of receiving your withdrawal, with the same payment method, at no cost to you.

9. If your answer misses the point

If you think your answer does not address the question agreed in your intro call, tell us within 14 days of unlocking it. We will revise it at no cost. If we cannot put it right, we refund the price of the answer.

10. The intro call

The intro call is free. To move or cancel it, email us at (to be confirmed), as early as you can. If your advisor cannot make it, we offer you a new time. We only record the call with your permission; our privacy policy explains how we handle call recordings.

11. Liability

  • If we make a mistake that causes you damage, our liability is limited to the fee you paid for the service the damage relates to: the answer, or the follow-up work concerned.
  • We are not liable for indirect damage, such as lost profit or missed savings, or for damage caused by facts or documents you gave us that were incomplete or wrong, or by changes in the law after the date of your answer.
  • Only you can rely on your answer. We are not liable to anyone else who uses it.
  • These limits do not apply to damage caused by our intent or deliberate recklessness, or where the law does not allow a limit, such as the mandatory consumer protection of the country where you live.
  • Report a claim to us in writing within one year after you discovered, or could reasonably have discovered, the damage.
  • Each answer ends with a short note on its scope and limits. The version of that note shown with your answer is part of these terms.

12. Confidentiality

We keep what you tell us confidential. We share it only with the service providers named in our privacy policy, who work for us under a processing agreement, or where the law requires it.

13. Using your answer

Your answer is for your own use. You may share it with your own accountant or lawyer; you may not publish or sell it. We keep the rights in our texts, diagrams and templates.

14. Complaints

If you are not happy with our work, email (to be confirmed). We confirm receipt within five working days and send you our reply within 14 days; if a complaint needs more time, we tell you when to expect it. If we cannot solve it together, you can take it to court (see 16).

15. Changes to these terms

We may update these terms. The version in force when you make a purchase applies to that purchase. The date at the top shows the current version.

16. Law and courts

Dutch law applies. If you are a consumer living in another EU country, you keep the protection of the mandatory law of that country, and you can also bring a case before the courts where you live. Otherwise, disputes go to the competent court in the Netherlands.
